Terms of Service

Rules and guidelines for using the Passflat platform.

1. Acceptance of Terms

By using Passflat (passflat.com), you agree to these Terms of Service. If you do not agree, please do not use the platform.

These terms apply to all users of the platform, including tenants listing apartments, tenants searching for apartments, and users submitting cost reports.

2. Service Description

  • Passflat is a platform connecting tenants for lease takeovers — helping current tenants find replacements and new tenants find apartments.
  • Passflat provides a community-sourced cost database where tenants share real utility costs to help others make informed decisions.
  • Passflat is NOT a real estate agency, property manager, or party to any lease agreement. We facilitate connections between tenants — any legal arrangements are between the involved parties.

3. User Accounts

  • You must be at least 18 years old to create an account and use Passflat.
  • You may only create one account. Duplicate accounts may be removed.
  • You are responsible for the security of your login credentials and for all activity on your account.
  • We reserve the right to suspend or delete accounts that violate these terms or engage in abusive behavior.

4. Listing Rules

When posting a listing on Passflat, you agree to the following:

  • Listings must be for real, currently available apartments that you have the right to offer for lease takeover.
  • You must be the current tenant of the apartment or have explicit authorization from the tenant to post the listing.
  • Cost information (rent, admin fee, utilities) must be accurate and reflect actual monthly expenses.
  • Listings must not contain discriminatory, misleading, offensive, or illegal content.
  • Passflat reserves the right to remove any listing that violates these rules without prior notice.
  • Listings expire automatically after 60 days. You can renew or close them at any time from your dashboard.

5. Cost Reports

  • Cost reports must reflect real costs from your personal experience as a tenant in the reported building.
  • Submitting false or deliberately misleading cost data may result in account removal and deletion of all reports.
  • Cost reports are displayed in anonymized, aggregated form.

6. Payments

Passflat offers the following paid services: extra listings (beyond the 2 free active listings), promoted listings (boosted visibility in search results), and time-limited access to the cost report database. All payments are securely processed via Stripe. Prices are shown in PLN.

Paid services are digital services provided immediately and in full right after payment. By purchasing or activating a paid service, you give your express consent to its immediate provision and acknowledge that, once the service has been provided, you lose your statutory 14-day right of withdrawal (see Section 9). You confirm this consent at checkout when you accept these Terms.

The paid product is the service itself — the publication of a listing, increased visibility/promotion, or access to the cost-data database — delivered immediately and in full. Passflat does not guarantee any particular outcome, such as finding a replacement tenant, a roommate, or a new lease. The absence of such a result is not a defect in the service and is not grounds for a refund.

Refunds are granted at Passflat's discretion in cases of genuine issues, such as a duplicate charge, a technical failure that prevented the service from being delivered, or a defective service. Your mandatory consumer rights remain unaffected. For refund requests, contact contact@passflat.com.

7. Limitation of Liability

  • Passflat is a marketplace platform. We do not verify apartments, conduct property inspections, or guarantee the accuracy of user-submitted information.
  • Users are solely responsible for verifying listing information, conducting viewings, and entering into legal agreements (amendments, lease assignments) with landlords and other tenants.
  • Passflat is not liable for any disputes, losses, or damages arising from transactions or interactions between users or between users and landlords.

8. Intellectual Property

The Passflat platform, including its design, code, branding, and content (excluding user-generated content), is the intellectual property of Passflat.

By posting content on Passflat (listings, photos, cost reports), you grant us a non-exclusive, worldwide license to display and distribute that content on the platform for the purpose of providing the service.

9. Right of Withdrawal

As a consumer, you generally have the right to withdraw from a distance contract for digital services (such as extra listings, promoted listings, or cost report access) within 14 days, without giving any reason. The withdrawal period expires 14 days after the day the contract is concluded. To meet the deadline, it is enough to send your statement before the period expires.

However, the right of withdrawal does not apply where the service has been fully performed with your prior express consent and your acknowledgment that you would lose the right of withdrawal once the contract was fully performed (Art. 38(1)(13) of the Polish Consumer Rights Act / Art. 16(m) of Directive 2011/83/EU). Because Passflat's paid services are provided immediately and in full upon payment, by purchasing you give this consent and lose the right of withdrawal once the service has been provided.

To exercise the right of withdrawal where it applies, send an unequivocal statement (for example, a letter by post or an email) to contact@passflat.com, stating your account email and order details. You may use the model form below, but it is not obligatory. We will process any refund due without undue delay and within 14 days of receiving your statement.

10. Digital Services Act

In accordance with the EU Digital Services Act (Regulation 2022/2065), we provide the following transparency information:

Content Moderation

Listings may be removed or restricted if they:

  • Contain false, misleading, or fraudulent information about an apartment
  • Include discriminatory, offensive, or illegal content
  • Violate third-party rights (e.g., posting without the tenant's authorization)
  • Contain spam, duplicate listings, or commercial advertising unrelated to rental offers

Complaint Procedure

  • If your content has been removed or restricted, you may submit a complaint to contact@passflat.com within 6 months of the decision.
  • We will review your complaint and respond within a reasonable time. If you disagree with our decision, you may seek redress through an out-of-court dispute settlement body or the courts.
  • Users may also report illegal content via contact@passflat.com. We will process reports promptly and inform the reporter of the outcome.

Algorithmic Transparency

Listings are ranked by recency (newest first). Promoted listings — a paid feature — appear at the top of search results for the duration of the promotion. No other algorithmic personalization or profiling is used to order search results.

In accordance with EU Regulation 524/2013, consumers may use the European Online Dispute Resolution (ODR) platform to resolve disputes related to online purchases.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Poland. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Warsaw.

13. Force Majeure

Passflat shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, power outages, internet disruptions, government actions, or third-party service failures.

14. Changes to Terms

We may update these Terms of Service. We will notify registered users of significant changes via email at least 14 days before they take effect. For material changes affecting your rights or data processing, we will request your explicit re-acceptance upon next login. If you do not accept the updated terms, you may delete your account. Continued use of the platform after the notification period constitutes acceptance of the updated terms.
